The constitution of the Nobel Foundation consists of 22 main articles and 4 temporary provisions. Among them, the first 13 are the general provisions on selection, the last 8 are the ways of managing the foundation, and the last one is the provisions on changing the constitution

(1) support all sectors of the society to actively participate in afforestation, forest management, desertification control, energy forest base construction, wetland and biodiversity protection activities for the purpose of coping with climate change
(2) support the construction of memorial forests, forest management, and green space for carbon sequestration
(3) support the strengthening of forest and woodland protection to rece carbon emissions caused by irrational land use< (4) support scientific and technological research, ecation and training for the purpose of public welfare, increasing foreign exchange and recing emissions
(5) support carbon sink measurement, monitoring and related standard formulation< (6) to publicize the function and role of forests in the response to climate change, and to raise the public awareness of ecological environment protection and climate protection< (7) support domestic and international cooperation and exchange on public welfare undertakings of forestry in response to climate change
(8) to carry out other public welfare activities suitable for the purpose of the foundation< Article 8 the foundation is composed of 13-25 directors
the term of office of the board of directors of the foundation is five years, and they can be re elected upon expiration of their term< Article 9 qualifications of directors:
(1) having a high awareness of ecological environment protection and volunteering to contribute to China's forestry response to climate change< (2) hardworking and willing to work hard for the development of the foundation< (3) high social prestige, integrity and good health< Article 10 selection and removal of directors:
(1) the first directors shall be nominated by the competent business unit, major donors and sponsors respectively and determined through joint consultation
(2) when the Council is reelected for a new term, the competent business unit, the Council and the main donors shall jointly nominate candidates and organize a new term leading group to organize all candidates to jointly elect a new term director< (3) the removal or addition of directors shall be approved by the Council and submitted to the competent business unit for examination and approval< (4) the results of election and removal of directors shall be reported to the registration authority for record< (5) those who are close relatives may not serve on the Council at the same time< Article 11 the rights and obligations of directors:
(1) to participate in the meetings of the board of directors of the foundation and exercise the right to vote, stand for election and vote< (2) exercise the right of supervision over the management and use of the foundation's funds and properties

(4) abide by the constitution of the foundation, attend council meetings and implement Council resolutions< (5) actively raise funds for the foundation and develop relevant business work< (6) actively participate in relevant important activities organized by the foundation< Article 12 the decision-making body of the foundation is the Council. The Council shall exercise the following functions and powers:
(1) to formulate and amend the articles of Association< (2) to elect or remove the chairman, vice-chairman and Secretary General of the board of directors
(3) decide on plans for major business activities, including plans for fund raising, management and use< (4) examination and approval of annual revenue and expenditure budget and final accounts< (5) formulate internal management system< (6) decide to set up offices, branches and representative offices< (7) to decide on the appointment of the under secretaries general and the principal persons in charge of the institutions nominated by the Secretary General< (8) to listen to and consider the work reports of the secretary general, and to inspect the work of the Secretary General< (9) to decide on the division, merger or termination of the foundation< (10) decide on other major issues< Article 13 the Council shall hold two meetings every year. The Council meeting shall be convened and presided over by the president
more than one third of the directors proposed that the Council meeting must be held. If the chairman is unable to call the meeting, the proposing director may elect the convener
to hold a meeting of the board of directors, the chairman or convener shall notify all directors and supervisors 5 days in advance
Article 14 the Council meeting can be held only when more than two-thirds of the directors are present; The resolution of the Council shall be valid only if it is approved by more than half of the directors present< (1) amendment of the articles of Association; and< (2) to elect or remove the chairman, vice-chairman and Secretary General of the board of directors< (3) major fund-raising and investment activities stipulated in the articles of Association< (4) the separation, merger and termination of the foundation
Article 15 minutes of the board meeting shall be made. If a resolution is formed, minutes of the meeting shall be made on the spot and shall be reviewed and signed by the directors present. However, if it is proved that the director objected to the voting and recorded in the minutes of the meeting, he may be exempted from liability< Article 16 the foundation has two supervisors. The term of office of a supervisor is the same as that of a director, and can be re elected upon expiration of the term
Article 17 directors, close relatives of directors and foundation accountants shall not be supervisors< Article 18 selection and removal of supervisors:
(1) supervisors shall be selected by the main donors and the competent business units respectively
(2) the registration authority selects and dispatches personnel according to work needs< (3) the change of supervisors shall be in accordance with the procere of their formation< Article 19 rights and obligations of supervisors:
the supervisors shall inspect the financial and accounting data of the foundation in accordance with the proceres specified in the articles of association, and supervise the compliance of the board of directors with the law and the articles of association
the supervisor shall attend the meeting of the board of directors as nonvoting delegates, have the right to put forward questions and suggestions to the board of directors, and shall report the situation to the registration authority, the competent business unit and the competent tax and accounting departments
supervisors should abide by relevant laws and regulations and the articles of association of the foundation and faithfully perform their ties
Article 20 the number of directors receiving remuneration from the foundation shall not exceed 1 / 3 of the total number of directors. Supervisors and directors who do not hold full-time positions in the foundation shall not receive remuneration from the foundation
Article 21 the directors of the foundation shall not participate in the decision-making of relevant matters when their personal interests are related to the interests of the foundation; Directors, supervisors and their close relatives of the foundation shall not engage in any transaction with the foundation< Article 22 the board of directors shall have a chairman, a vice-chairman and a secretary-general, who shall be elected from among the directors< Article 23 the chairman, vice-chairman and secretary-general of the foundation must meet the following conditions:
(1) have a greater influence in the business field of the foundation< (2) the maximum age of the chairman, vice-chairman and Secretary General shall not exceed 70 years old, and the Secretary General shall be full-time
(3) be in good health and able to work normally< (4) full capacity for civil conct< (5) the first chairman of the board of directors is not subject to the maximum age of 70 years< Article 24 a person under any of the following circumstances shall not serve as the chairman, vice-chairman or Secretary General of the foundation:
(1) a person who is a current national staff member< (2) being sentenced to public surveillance, criminal detention or fixed-term imprisonment for a crime, and less than five years have passed since the date of completion of the sentence< (3) being sentenced to deprive of political rights for a crime while in execution or having been sentenced to deprive of political rights< (4) having served as the chairman, vice-chairman or secretary-general of a foundation whose registration has been revoked e to violation of law, and being personally responsible for the illegal acts of the foundation, and less than five years have passed since the date of revocation of the foundation
Article 25 Hong Kong residents, Macao residents, Taiwan residents and foreigners who serve as the vice chairman or Secretary General of the foundation shall not stay in the mainland of China for less than three months each year
Article 26 The term of office of the chairman, vice chairman and Secretary General of the foundation is five years, and they shall not be re elected for more than two terms. Those who need to be re elected for more than one term e to special circumstances shall be approved by the special proceres of the Council, submitted to the competent business unit for examination and approved by the registration administration authority before they can hold the post< Article 27 the chairman of the foundation is the legal representative of the foundation. The legal representative of the foundation shall not concurrently serve as the legal representative of other organizations
the legal representative of the foundation shall be a resident of mainland China
ring the term of office of the legal representative of the foundation, if the foundation violates the regulations on the administration of the foundation and the articles of association, the legal representative shall bear relevant responsibilities. (1) preside over the daily work of the foundation and organize the implementation of Council resolutions< (2) to organize and implement the foundation's annual plan for public welfare activities< (3) to organize the formulation of plans for fund raising, management and use< (4) to organize the formulation of internal management rules and regulations of the foundation< (5) to coordinate the work of various agencies< (6) to propose the appointment or dismissal of the deputy secretary general, which shall be decided by the Council< (7) to propose the appointment or dismissal of the principal persons in charge of each institution, which shall be decided by the board of directors< (8) to decide on the employment and dismissal of full-time staff in various institutions< (9) other functions and powers conferred by the articles of association and the Council< Chapter IV Management and use of property Article 29 the foundation is a public offering foundation, and its income comes from:
(1) donations from natural persons, legal persons or other organizations
(2) income from organizing public donations< (3) government funding< (4) fund appreciation and investment income permitted by national laws and policies< (5) other legitimate income
Article 30 when organizing and accepting donations, the foundation shall abide by laws and regulations, conform to the purpose of the articles of association and the business scope of public welfare activities
Article 31 when organizing fund-raising, the foundation shall publicize to the public the public welfare activities and activities to be carried out after the fund is raised

Chapter I General Provisions Article 1 the full name of the foundation is the Red Cross Foundation of China

Article 4 the original amount of the foundation is 8 million yuan, which comes from the donations of enterprises and indivials< Article 5 the registration authority of the foundation is the Ministry of civil affairs of the people's Republic of China, and the business competent unit is the Red Cross Society of China< Article 6 the residence of the foundation is No.53 Ganmian Hutong, Dongcheng District, Beijing, China< Chapter II business scope Article 7 the business scope of the foundation's public welfare activities:
(1) implement the law of the Red Cross Society of the people's Republic of China, carry out the humanitarian relief activities of the Red Cross, and promote the healthy development of the cause of the Red Cross

Article 30 when organizing and accepting donations, the foundation shall abide by laws and regulations, conform to the purpose of the articles of association and the business scope of public welfare activities
Article 31 when organizing fund-raising, the foundation shall announce to the public the public welfare activities to be carried out and the detailed plan for the use of the funds. Major fund-raising activities shall be reported to the competent business unit and the registration authority for the record

Article 32 the property and other income of the foundation shall be protected by law, and no unit or indivial shall encroach, divide or misappropriate it
